# 9. GOVERNANCE - A LEGAL DAO

SPOZZ is governed by a l**egally registered Swiss association**, modeled on a DAO but with real-world compliance and oversight.

**How It Works**

* The Social Club is open to holders of SPOZZ Membership NFTs
* Every verified member has 1 vote (not weighted by token holdings)
* The club elects a board, proposes initiatives, and decides how to allocate its share of profits
* Legal statutes ensure democratic governance and continuity

**Transparency**

* Financials are shared annually
* Platform decisions are proposed and discussed in public channels
* Voting is secure and logged

This isn’t a decentralized free-for-all — it’s structured community governance designed to outlast the hype cycle.
